Terms of Service

1. Acceptance of Terms

By accessing or using the PayNexa Global website ("Site") or any services offered by PayNexa Global ("PayNexa", "we", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or services.

2. Description of Services

PayNexa provides cross-border payment infrastructure services for African businesses, currently with a live payment corridor from Kenya to China. Our services include facilitating payments to international suppliers, foreign exchange conversion, and associated support services.

PayNexa is currently pursuing registration as a Money Remittance Provider with the Central Bank of Kenya. Our regulatory application is in progress. Nothing on this Site should be construed as a representation that PayNexa currently holds any regulatory licence or authorisation from the Central Bank of Kenya or any other regulatory authority.

3. Eligibility

To use PayNexa's payment services, you must be a duly registered business entity or an authorised representative of such entity. You must be legally capable of entering into binding contracts under applicable law. By using our services you represent that you meet these requirements.

4. Acceptable Use

You agree to use the Site and services only for lawful purposes. You must not:

  • Use the services for any illegal transaction or to facilitate money laundering, fraud, or any other financial crime.
  • Provide false, inaccurate, or misleading information at any stage of onboarding or service use.
  • Attempt to circumvent any security, compliance, or verification measures.
  • Use the services for personal (non-commercial) remittances unless otherwise agreed in writing.
  • Reverse-engineer, scrape, or misuse any part of the Site or its infrastructure.

5. Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, icons, and the site design — is the property of PayNexa Global or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

6. Disclaimer of Warranties

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.

Information on this Site is provided for general informational purposes only and does not constitute financial, legal, or investment advice.

7. Limitation of Liability

To the fullest extent permitted by applicable law, PayNexa Global, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Site or services, even if advised of the possibility of such damages.

Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the fees paid by you to PayNexa in the twelve months preceding the relevant claim.

8. Indemnification

You agree to indemnify and hold harmless PayNexa Global and its affiliates, officers, and employees from any claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from your use of the services, your breach of these Terms, or your violation of any applicable law or third-party rights.

9. Termination

We reserve the right to suspend or terminate your access to the services at any time, with or without notice, if we believe you have violated these Terms, applicable law, or for any other reason at our discretion. Provisions of these Terms that by their nature should survive termination will continue to apply.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Kenya for any disputes arising under or in connection with these Terms.

11. Dispute Resolution

In the event of a dispute, you agree to first attempt resolution through good-faith negotiation with PayNexa. If a resolution cannot be reached within 30 days, either party may pursue formal legal remedies in accordance with Section 10.

12. Changes to Terms

We may revise these Terms at any time. Revised Terms will be posted on this page with an updated date. Your continued use of the Site or services after any changes constitutes your acceptance of the revised Terms.
